1. Introduction

Welcome to Portioned (“we,” “our,” or “us”). By downloading, accessing, or using the Portioned mobile application (the “App”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, please do not use the App. These Terms constitute a legal agreement between you and [Mark Todd Cookis] concerning your use of the App.

2. Description of Service

Portioned is a financial utility application designed to assist users in scanning receipts, itemizing expenses, and calculating shared bill amounts. The App uses Optical Character Recognition (OCR) technology to process images of receipts. Not Financial Advice: The App is for informational and organizational purposes only. It does not constitute professional accounting, tax, or financial advice.

3. Eligibility

You must be at least 13 years old to use this App.
  • Minors: If you are at least 13 but under the age of 18 (or the age of majority in your jurisdiction), you represent and warrant that you have obtained the consent of your parent or legal guardian to use the App and agree to these Terms.
  • Capacity: By using the App, you represent and warrant that you have the legal capacity to enter into a binding contract or have obtained the necessary consent to do so.

4. OCR Technology & Accuracy Disclaimer

The App utilizes Optical Character Recognition (OCR) technology to read handwriting and text from receipts.
  • No Guarantee of Accuracy: OCR technology is not infallible. The App may occasionally misread prices, item names, or totals due to poor lighting, handwriting quality, or receipt condition.
  • User Responsibility: You are solely responsible for verifying the accuracy of all data scanned or entered into the App before making any payments or splitting bills. We are not liable for any financial losses or disputes arising from incorrect data extraction or calculation errors.

5. Subscriptions and Payments

Portioned offers a “Freemium” model with optional paid subscriptions (“Premium” and “Plus”).
  • Billing: Payments will be charged to your Apple ID or Google Play Account at confirmation of purchase.
  • Auto-Renewal: Your subscription automatically renews unless auto-renew is turned off at least 24 hours before the end of the current billing period.
  • Renewal Charges: Your account will be charged for renewal within 24 hours prior to the end of the current period at the cost of the chosen package.
  • Management & Cancellation: You can manage your subscription and turn off auto-renewal by going to your Account Settings on the App Store or Google Play Store after purchase. Uninstalling the App does not cancel your subscription.
  • Refunds: All refund requests must be directed to the Apple App Store or Google Play Store, as they process the payments. We do not have the ability to issue refunds directly.
  • Price Changes: We reserve the right to adjust pricing for our service or any components thereof in any manner and at any time. Any price changes will take effect following notice to you.

6. User Accounts

  • Security: You are responsible for maintaining the confidentiality of your login credentials (email/OTP).
  • Data Deletion: You may delete your account at any time via the App Settings. Upon deletion, your data is permanently removed from our servers in compliance with GDPR/CCPA, and your subscription is automatically cancelled.

7. User Content & Conduct

  • Receipt Images: You retain ownership of the receipts you scan. By uploading them, you grant us a license to process the data to provide the Service.
  • Prohibited Content: You agree not to upload receipts containing illegal items, explicit content, or sensitive personal information (PII) of third parties without consent.
  • Acceptable Use: You agree not to reverse engineer, attempt to hack, or misuse the App’s API.

8. Intellectual Property

The Portioned name, logo, and all related software, design, and code are the exclusive property of Mark Todd Cookis. You are granted a limited, non-exclusive, non-transferable license to use the App for personal use.

9. Third-Party Services

The App may link to or use third-party services (e.g., Cloud Hosting Providers). We are not responsible for the availability or accuracy of these third-party services.

10. Disclaimer of Warranties

THE APP IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE ERROR-FREE OR UNINTERRUPTED.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL Mark Todd Cookis BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR USE OF THE APP OR INABILITY TO USE THE APP.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, USA, without regard to its conflict of law principles.
